01PREAMBLE & BINDING AGREEMENT
These Master Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding contract between Zaio (“the Company,” “we,” “us,” or “our”) and the individual, enterprise entity, educational institution, or hardware host (“User,” “Client,” “Host”) accessing or utilizing our corporate websites, physical edge infrastructure, foundation models, and vertical software applications. By accessing zaio.in, mrdn.in, idly.world, or interacting with any hardware, software, or DePIN components of the Zaio ecosystem, you agree to be bound unconditionally by these Terms. If you do not agree to all terms and conditions specified herein, you must immediately cease all access and operations.
02PART I: DESCRIPTION OF THE VERTICAL ECOSYSTEM
Zaio operates an interconnected, multi-layered vertical technology stack. These Terms broadly govern user interaction across all divisions of our ecosystem:
- ZVRN (Infrastructure Layer): A decentralized physical infrastructure network (DePIN) consisting of hardware-isolated sovereign edge compute nodes deployed across residential, commercial, and industrial host properties.
- BhAi Engine (Foundational Layer): Our proprietary audio-native, textless Natural Language Processing (NLP) foundation software and language models running securely on regional infrastructure.
- MRDN (Enterprise Vertical): An enterprise reasoning and data fusion platform designed to build structural ontologies from legacy corporate databases via the Orion automated wrapper.
- DXTR (Educational Vertical): A screen-minimal, voice-first hardware device and cognitive learning framework built for K-12 environments, utilizing a Web3 blockchain ledger for immutable academic performance tracking.
- Idly (Media Vertical): An algorithmic, automated consumer media generation and contextual news distribution engine.
03PART II: INTELLECTUAL PROPERTY & PROPRIETARY ASSETS
Zaio retains absolute and exclusive ownership, title, and intellectual property rights over every layer of its technology stack.
- The Foundation Layer: Users explicitly acknowledge that all neural network architectures, parameter allocations, specialized training weights, unwritten regional dialect datasets, phonetic embeddings, and algorithmic processing loops within the BhAi Engine remain the sole proprietary property of Zaio.
- Software and Schemas: The automated Orion data wrapper, the Nexus ontology framework, and the underlying source code powering MRDN, DXTR, and Idly are protected by copyright, trade secret, and international patent laws. No license, sub-license, reverse-engineering right, or source-code extraction is granted under these Terms unless explicitly executed via a separate corporate Master Service Agreement (MSA).
- Trademarks: "Zaio", "ZVRN", "BhAi", "MRDN", "DXTR", and "Idly" are proprietary trademarks of the Company. Unauthorized brand usage, replication, or public modification is strictly prohibited.
04PART III: PLATFORM-SPECIFIC OPERATIONAL TERMS
A. ZVRN DePIN Hosting Terms
For individual tenants, residential hosts, or commercial property owners hosting a physical ZVRN edge compute node on their premises:
- Installation & Deployment: Nodes are deployed strictly upon verified host consent. Hosts agree to provide a secure physical environment, constant network connectivity, and continuous electrical power to the hardware node.
- Financial Reimbursement: Zaio tracks node power consumption via centralized telemetry. Zaio will directly reimburse the host for the incremental electricity cost consumed by the ZVRN node at prevailing local utility rates, alongside distributing any agreed-upon digital or platform incentives.
- Liability & Tampering: Hosts shall not tamper with, open, modify, or attempt physical or digital intrusion into the hardware-isolated ZVRN node. Any physical damage caused by gross negligence, willful misconduct, or unauthorized third-party hardware manipulation will result in the immediate forfeiture of host reimbursements and full legal liability for hardware replacement costs. Zaio is not liable for structural network or residential electrical interruptions outside of direct node malfunctions.
B. MRDN Enterprise Terms
- Ingestion Safety: Enterprise clients utilizing MRDN and the Orion wrapper represent and warrant that they possess all legal rights, titles, and corporate authorities to ingest their legacy ERP, supply chain, and machinery datasets into the system.
- Data Isolation: Data ingested into a client's dedicated environment is strictly localized within hardware-isolated ZVRN nodes or MeitY-empanelled sovereign cloud environments to satisfy Indian national data protection mandates.
- Model Training Opt-Out: Enterprise clients retain the absolute contractual right to opt out of allowing anonymized structural components of their ontology layer to be used for general model fine-tuning. Opting out will not degrade or affect the core operational stability of the MRDN platform.
C. DXTR K-12 Device Terms
- Parental Consent Mandate: Use of the DXTR physical hardware device by individuals under the age of 18 strictly requires verified parental, legal guardian, or institutional school-board consent prior to hardware activation.
- Web3 Ledger Acknowledgment: Academic milestones and performance metrics are anchored to a Web3 blockchain ledger to ensure data immutability and persistency across different educational institutions.
- Educational Use Restrictions: The device must be used solely for its intended voice-first cognitive learning pathways. Users, parents, and educational institutions are strictly prohibited from utilizing the edge-node software to execute malicious commands, bypass localized firmware restrictions, or intercept raw audio streams for external transmission.
D. Idly Media Disclaimers
- Algorithmic Content Generation: Content distributed across Idly is compiled and optimized via automated, algorithmic virtual media factories. While Zaio implements rigorous validation checks, all media, news translations, and simplified linguistic variations are provided strictly on an "As-Is" and "As-Available" basis.
- Limitation of Liability: Zaio makes no explicit warranties regarding the absolute real-time accuracy, completeness, or editorial perfection of algorithmically generated news. Zaio disclaims all liability for any direct, indirect, or consequential damages resulting from public or institutional reliance on automated content stream variations.
05PART IV: ACCEPTABLE USE POLICY & GLOBAL RESTRICTIONS
Users and clients agree not to utilize any component of the Zaio ecosystem to:
- Violate any regional, national, or international legislation, including India’s Digital Personal Data Protection (DPDP) Act 2023.
- Deploy automated scripts, bots, or malicious scraping frameworks to pull data from zaio.in, mrdn.in, or idly.world.
- Attempt to compromise the cryptographic integrity, localized security parameters, or hardware-isolation layers of any active ZVRN grid node.
- Transmit or voice-prompt the BhAi Engine with materials that contain malicious code, logic bombs, or inputs explicitly engineered to trigger structural hallucinations, system exploitation, or bypass internal safety guardrails.
06PART V: INDEMNIFICATION & LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Zaio, its co-founders, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, corporate data leaks resulting from client-side credential compromises, system downtime, or hardware disruptions caused by regional grid failures. Clients, users, and hosts agree to indemnify, defend, and hold harmless Zaio against any legal claims, liabilities, damages, or operational expenses arising directly out of the user's violation of these Terms, unauthorized hardware modification, or infringement on third-party data rights.
07PART VI: GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or invalidity thereof, shall be settled by binding arbitration in Chennai, Tamil Nadu, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in English, and the arbitral award shall be final and binding upon both parties.
